Welcome to Yesso! These Terms of Service ("Terms") govern your access to and use of Yesso's approval workflow software, website, and related services (collectively, the "Service"), operated by Digitari Solutions ("we," "us," or "our").
By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of these Terms, you may not access the Service.

When you create an organization account, you represent that you have the authority to bind that organization to these Terms. The organization is responsible for all activities conducted through the account by its members.

We reserve the right to investigate and take appropriate legal action against anyone who violates these provisions, including removing content, suspending or terminating accounts, and reporting to law enforcement.
You retain all rights to the content you upload, submit, or transmit through Yesso ("User Content"), including approval requests, comments, notes, and file attachments.
By submitting User Content, you grant us a limited, non-exclusive, royalty-free license to store, process, and display your User Content solely for the purpose of providing the Service to you and your organization.

We reserve the right (but have no obligation) to review, remove, or disable access to User Content that we believe violates these Terms, our policies, or applicable laws. We may also remove User Content if required by law or in response to valid legal requests.
Yesso offers subscription plans with different features and member limits. Current pricing and plan details are available on our website. We reserve the right to change our pricing and plans at any time.
By subscribing to a paid plan, you agree to pay all fees associated with your subscription. You authorize us to charge your payment method on a recurring basis according to your selected billing cycle (monthly or annual).
We may change our pricing at any time. For existing customers, price changes will take effect at the start of your next billing cycle after we provide at least 30 days' notice. If you don't agree to the price change, you may cancel your subscription before the new price takes effect.
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will continue to have access to the Service until the end of your paid period.
We do not provide refunds for partial months or years. If we terminate your account for violation of these Terms, you are not entitled to any refund.
We may offer free trials or promotional pricing from time to time. These offers are subject to the specific terms disclosed at the time of the offer. If you don't cancel before the trial ends, you'll be charged for the subscription at the regular price.
The Service, including all content, features, functionality, software, and design, is owned by Digitari Solutions and is protected by copyright, trademark, and other intellectual property laws.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes. This license does not include the right to:

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
Yesso is intended for business use. You acknowledge that we have no liability for any business losses, including loss of profits, revenue, contracts, anticipated savings, data, goodwill, or wasted expenditure.
You agree to indemnify, defend, and hold harmless Digitari Solutions and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or related to:
You may terminate your account at any time by canceling your subscription through your account settings or by contacting us. Upon termination, your right to use the Service will immediately cease.
We may suspend or terminate your account immediately, without prior notice, if:

While we implement reasonable security measures and backup procedures, you are responsible for maintaining your own backups of your User Content. We are not responsible for any loss or corruption of your data, or for any costs or expenses associated with backing up or restoring your data.
We recommend that you regularly export and backup important data from your Yesso account to ensure you have your own copies.
The Service may contain links to third-party websites or integrate with third-party services. We are not responsible for the content, privacy practices, or terms of use of any third-party services. Your use of third-party services is at your own risk and subject to their terms.
These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.
You agree that any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the courts located in Vancouver, British Columbia, Canada. You consent to the personal jurisdiction of such courts and waive any objection to venue.
Before filing any formal dispute, you agree to first contact us at support@getyesso.com to attempt to resolve the issue informally. We'll work with you in good faith to reach a mutually acceptable resolution.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Digitari Solutions regarding the Service and supersede all prior agreements and understandings.
If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. Any waiver must be in writing and signed by us.
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction. These Terms bind and benefit the parties and their permitted successors and assigns.
We are not liable for any failure or delay in performing our obligations due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or internet service failures.
